TERMS & CONDITIONS

These Terms & Conditions (“Agreement”) between Orektic Solutions LLP, a Pune, India based private limited company (referred to here as “Orektic,” "we," or "us") and the Customer (referred to here as “you” or “user”) governs the access and use the docuWeaver application (“Application”) and the related services (“Services”) owned and operated by Orektic and is a legally binding and enforceable contract.

The Services and Application are provided to you under the terms and conditions set forth in this Agreement and any rules or policies otherwise set forth on Orektic’s website site or published by Orektic from time to time. This Agreement, along with all rules and policies referenced comprises the Entire Agreement between you and Orektic and supersedes any and all prior agreements or understandings between the parties.

By installing, accessing, or using the Application or Services, you indicate your complete and unconditional acceptance of and agree to all of the terms and conditions set forth in this Agreement, including all warranties and promises by you. If you do not agree to the terms and conditions of this Agreement, you must immediately cease all use of the Services and Application.

Orektic reserves the right, at its sole discretion, to modify or update this Agreement at any time. Any changes will be effective immediately upon posting on Orektic’s official website. Your continued use of the Application or Services constitutes your acceptance of any such modifications.

COMPLIANCE WITH LAWS

User represents and warrants that their use of the Services will comply with all applicable Indian laws, including the Information Technology Act, 2000, Digital Personal Data Protection Act, 2023, and Consumer Protection Act, 2019.

ACCOUNT AND ACCEPTABLE USAGE POLICY

By registering for an account, you acknowledge and warrant that you are eighteen (18) years of age or older.

You shall provide current, complete, and accurate information in the registration section of the Application and shall further update and keep such information current as needed. You must provide a password to access the Services or the Application.

You are solely responsible for maintaining the confidentiality of your password and account information. You shall immediately notify Orektic of any unauthorized account activity.

The Application and related Services shall be used for lawful purposes only, in accordance with all applicable laws, rules, and regulations. Specifically, you agree not to engage in or transmit, publish, or distribute any material, content, or application logic through the Services, or Application that:

Is pornographic, obscene, offensive, threatening, harassing, libelous, hate-oriented, harmful, defamatory, racist, illegal, or otherwise objectionable.
Attempts to hide your identity or represents you as someone else.
Promotes, provides, or relates to instructional information about illegal activities or promotes physical harm or injury against any individual or group.
Contains viruses, corrupted files, or any similar software or programs that may damage the operation of anyone else’s computer, the Service, or the Application.
Interferes with or disrupts networks connected to the Service and the Application.
Is an attempt to gain unauthorized access to any computer system, including accounts and databases maintained by and for Orektic.

You specifically agree not to use the Service or the Application to send any materials to any persons under eighteen (18) years of age unless and until you have taken and follow all necessary action and compliance pursuant to the applicable laws.

You agree to comply with all applicable laws relating to such conduct.

If you engage in any prohibited activity set forth in this section or violate any terms or conditions of the Agreement, your account will be immediately terminated, and your use of the Application and Services will be permanently prohibited.

Orektic reserves the right to report such conduct to the appropriate legal authorities and will turn over any and all information regarding such activity to appropriate persons or entities as required by law.

APPLICATION FUNCTIONALITY, SCOPE AND RELATED REQUIREMENTS

The docuWeaver application is a versatile application designed to simplify the full document lifecycle, encompassing generation, e-signature, and management from a single platform. Its key features include:

The application allows users to generate documents (Word, PDF, contracts, invoices, quotes) from complex Salesforce data relationships, supporting up to 5-level child/parent object data without writing code. Documents can be sent via email using customizable templates.
docuWeaver provides an intuitive UI for file management, allowing users to organize files with a customizable folder structure, perform bulk uploads, search by file name or content inside the file, and supports version control. There is no built-in file size limit for uploads.
The application seamlessly integrates with external e-signature solutions, including DocuSign and Adobe Sign, for sending documents (NDAs, contracts, proposals) for e-signature and supports multiple signatories.
docuWeaver operates as an LWC component on record detail pages and Screen Flows and can attach files to standard and custom Salesforce objects.

The use of docuWeaver requires the installation of PWR Commons, which is a prerequisite package for the functioning of Orektic applications. PWR Commons is a free, foundational prerequisite package that supports the functioning of docuWeaver and other Orektic applications. Its core functions include:

Providing the necessary code base, version management, and user interface to support the operation of these applications.
Incorporating the Table-Driven Trigger Management (TDTM) tool, which controls the execution of Apex triggers within the Salesforce environment, ensuring proper application logic in response to Salesforce data events.
Offering a consolidated and user-friendly interface to manage the installation, updating, and uninstallation of the suite of Orektic applications.

Use of docuWeaver is subject to payment under applicable subscription plans. Discounts may be available for eligible nonprofit organizations.

Under the Standard Plan, each user may generate up to 1,200 documents per year, with the option to purchase additional document generation capacity as required.
Under the Unlimited Plan, users may generate an unlimited number of documents, subject to a minimum of ten (10) users.

More details on the pricing, subscription tiers, and available plans are provided on the Company’s official website and are subject to change from time to time.

The Application relies on Salesforce platform functionality. Orektic is not responsible for any downtime, limitations, or failures arising from Salesforce systems.

MODIFICATION TO SERVICES PROVIDED – TERMS OF AGREEMENT

User acknowledges and agrees that Orektic may, with or without notice, modify, delete, or amend the Application or Services provided hereunder. Further, user acknowledges and agrees that Orektic may further modify, delete or amend the Agreement from time to time, including changing the fee structure for some services. If user does not accept the modification, deletion or amendment, user must terminate user’s registration at that time. Any and all use of the Application or the Services by user after the notice of such change is posted shall be deemed to be acceptance of the modification, deletion or amendment (as well as all other terms and conditions) to the Services, Application or Agreement.

PAYMENT TERMS

User agrees to pay all charges for the Application and Services, including any applicable taxes, at the rates in effect when the charges are incurred. Orektic may change the fees and charges then in effect, or add new fees or charges, by giving users notice in advance.

No refunds of fees will be given, except in situations provided herein. If payment is not made Orektic reserves the right to suspend or terminate user’s account and access to the Application or Services. Orektic reserves the right to terminate user’s account at any time.

PAYMENT TERMS

Orektic maintains an up-to-date Privacy Policy, available on the Orektic Solutions - Privacy Policy, which describes in detail the types of information collected (such as name, phone number, and e-mail address), as well as the purposes for which such information is used and the manner in which it is handled. For further information on the collection and use of personal data, users are encouraged to review the Privacy Policy.

LIMITATION OF LIABILITY

Orektic shall provide the Application and Services using reasonable care and skill and all due diligence.

Notwithstanding the foregoing, you expressly acknowledge and agree that the use of the Service and the Application is at your sole risk. The Services and the Application are provided on an “as is” and “as available” basis.

To the fullest extent allowed by Indian law, Orektic expressly excludes and disclaims its liability for all implied warranties and conditions, including, but not limited to, the warranties of merchantability, fitness for a particular purpose, and satisfactory quality.

The Application and its contents may contain bugs, errors, problems, or other limitations. Orektic assumes no liability or responsibility for any errors or omission in the Application or in the resulting applications or content created by you.

Any contact information, data, or application logic created by you, or on your behalf by Orektic within the Application, is owned by you and is your sole responsibility. Orektic is not responsible for the contents or the operation of any application you build using the Application.

In no event shall Orektic, its affiliates, directors, employees, or agents be liable to you or any third party for any special, incidental, exemplary, punitive, or consequential damages, including, without limitation, lost profits, loss of data, loss of business, business interruption, or other loss resulting from the use of or reliance upon, in any way, the Services or the Application.

This limitation applies whether such liability arises from any claim based on contract, warranty, tort (including negligence), strict liability, or otherwise, and regardless of whether Orektic has been advised of the possibility of such loss or damage.

Notwithstanding anything to the contrary in this Agreement, Orektic’s total aggregate liability to you from all causes of action under this Agreement shall be limited to the total amounts paid by you to Orektic for the use of the Application in the twelve (12) months prior to the act or event giving rise to the liability. This liability, however, is not applicable to user’s usage of the Application during the trial period.

Orektic shall not be liable for any failure or delay in providing the Application or related Services if such failure or delay is due to an act of God, fire, casualty, flood, war, terrorism, strike, lockout, labor trouble, failure of public utilities, facility shutdown, injunction, epidemic, riot, insurrection, or any other circumstances beyond the reasonable control of Orektic which prevents or delays performance under this Agreement.

LIMITED WARRANTY

Except as expressly stated herein or to the extent allowed by applicable laws, Orektic expressly disclaims all warranties and conditions of any kind, express or implied, including without limitation any warranty, condition, or other implied term as to merchantability, fitness for a particular purpose, or non-infringement of the Application.

Orektic warrants to the user that it has put in appropriate efforts, infrastructure, and processes to ensure the Application and related Services are free from errors, bugs, viruses, malicious code, incorrect information, interruptions, and are reliable and secure.

Orektic further warrants that in the event a user reports any error, service interruption, virus, malicious code, incorrect information, bug, or security issue, Orektic will put its best effort to cure it within a reasonable time, except for any errors, service interruption, virus, malicious code, incorrect information, bug, or security issue reported during the trial period.

In no case shall Orektic be responsible for any damages due to any unreported or uncured interruptions, errors, bugs, incorrect information, viruses, or malicious code arising from its Services or Application.

INDEMNITY

User agrees to defend, indemnify and hold harmless Orektic, its parent entities, subsidiaries, affiliates, officers, and employees, for any and all claims and demands, including attorney’s fees, due to or arising from user’s use of the Application or Services, assessments, assessment results and associated information, assessment benchmarks, and good business practice examples and any other conduct related in any way to the Service or the Application, including but not limited to breaching any warranty or provision contained in this Agreement.

PROPRIETARY RIGHTS

Orektic grants a non-exclusive, revocable, limited license to use the Application. All rights not expressly granted are reserved. User shall not develop competing products using the Application.

Orektic owns the content, including the graphics, names, text, software, music, videos, sound, pictures, compilations, survey templates, page layout, design, processes, procedures, magnetic translation, digital conversion, software or other material contained in the Service and the Application. It is all protected by copyrights, trademarks, service marks, patents, or other proprietary rights and laws. No one may copy, reproduce, distribute in any way, or decompile, reverse engineer or disassemble the content. User is permitted the limited license to use the content of the Service and the Application as authorized herein to complete assessments and view assessment results for user’s personal use as an end product only, and user must at all times maintain Orektic copyright symbol on the product in any form or medium. Users assume the risk of disclosing their assessment results to third parties on an anonymous basis. Modification or use of the content in any other way is a violation of copyright and other proprietary laws. No one may copy, reproduce, transmit, post, distribute or create derivative works from the Application without prior express authorization.

NO MISAPPROPRIATION OR MISUSE OF NAMES, MARKS, OTHER PROPRIETARY MATERIAL

Orektic grants a non-exclusive, revocable, limited license to use the Application. All rights not expressly granted are reserved. User shall not develop competing products using the Application.

CONTENT & LINKS

You use of the Application and Services or any web sites linked thereto, at your own risk. You understand and agree as follows:

Some associated information content provided by Orektic on various assessment results may be considered to be of an advisory nature. This information is provided solely for informational purposes and should not be considered professional advice. You should not act based on information you receive from the Application and Services without using your own efforts to confirm such information, and, when appropriate, consulting with an independent professional regarding your individual circumstances.

Orektic may provide advertising space and/or links and pointers to Internet sites maintained by third parties. Orektic has not reviewed all of the third-party sites, nor reviewed any products or services they may provide. Orektic is not responsible for, nor does it endorse the contents or any products or services of such third parties or their sites. Orektic does not control in any respect any information, products or services offered or suggested by third parties on the site. Orektic does not endorse or otherwise warrant or guarantee the products or services that are either advertised on the site or connected by link.

CANCELLATION/REFUND

Orektic provides evaluation period of minimum 14 days for this Application and Services. User can evaluate the Application or Services before purchasing it. User is highly recommended to purchase the Application or Services only after evaluation.

None of our Application or Services are refundable. Hence user is highly recommended to purchase the Application or Services only after full satisfactory evaluation of the Application or Services.

Refunds are made only in exceptional cases as following:

Payment was made by mistake,
Double payment was made for the same Application or Services by mistake; or as may be required under the law.

TERMINATION

This Agreement is to run for an indefinite period and may be terminated by either party hereto at any time. Orektic shall not be liable to user or any third party in any manner for termination of the Agreement. In the event user should become dissatisfied with the with the Application or Services, the materials available on or through the Application or Services, the Agreement or any modifications thereof, user’s only recourse is to discontinue use of the Service, terminate the account and give notice of these actions. Upon termination, user’s right to use the Applications or Service ceases.

TERMINATION

Any dispute, controversy, or claim arising out of or in connection with this Agreement shall first be attempted to be resolved amicably between the parties through good faith negotiations.

If the parties are unable to resolve the dispute within thirty (30) days of the commencement of such negotiations, the matter shall be referred to and finally resolved by arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Pune, India. The arbitration proceedings shall be conducted in English, and the arbitral tribunal shall consist of a sole arbitrator mutually appointed by the parties. The costs of arbitration shall be borne equally by the parties.

This Agreement shall be governed by and construed in accordance with the laws of India. Subject to the foregoing arbitration clause, the courts at Pune, India shall have exclusive jurisdiction in relation to any matters arising out of this Agreement.

GENERAL PROVISIONS

The failure by Orektic to enforce any right or provision under this Agreement shall not constitute a waiver of that provision or any other provision of the Agreement. If any provision of the Agreement shall be determined to be invalid or unenforceable by a court of competent jurisdiction in India, the other provisions of the Agreement shall remain in full force and effect.

You may not assign or transfer any of your rights or obligations under this Agreement without the prior written consent of Orektic. Orektic may assign or transfer this Agreement, in whole or in part, without restriction, provided that the assignee assumes all of Orektic’s obligations hereunder.

The sections of this Agreement which by their nature should survive termination, including, but not limited to, Indemnity, Proprietary Rights, Limitation of Liability, Warranty Disclaimers, and General Provisions, shall survive the termination of this Agreement.

Orektic, or a third party designated by Orektic, reserves the right to periodically audit your use of the Application to ensure compliance with the terms of this Agreement, including verifying proper licensing and adherence to usage restrictions. Any such audit shall be conducted during normal business hours and in a manner that does not unreasonably interfere with your business operations. If an audit reveals any unauthorized use or material non-compliance, you agree to pay for the reasonable costs of the audit and any associated fees or damages resulting from the non-compliance.
